Terms of Service

These Terms of Service ("Terms") govern your use of the Pantr platform operated by Pantr ("we", "us", or "our"). By creating an account, you agree to these Terms.

1. The Pantr Platform

Pantr is a B2B marketplace that connects restaurants, food suppliers, and delivery drivers. We are a technology platform — we do not produce, sell, or deliver food ourselves. We facilitate transactions between independent businesses.

2. Eligibility

You must be 18 years or older to use Pantr
You must be operating a legitimate business
Drivers must have valid insurance, a valid driver's license, and a registered vehicle
Suppliers must comply with all applicable food safety regulations

3. Restaurant Agreement

As a restaurant user you agree to:

Provide accurate business information and address
Pay for all orders you place through the platform
Pay cancellation fees where applicable (up to 15% of order value if cancelled after confirmation)
Not abuse the review system or leave fake reviews
Use the platform only for legitimate business purchasing

4. Supplier Agreement

As a supplier you agree to:

Provide accurate product information, pricing, and availability
Fulfill orders you accept in a timely manner
Comply with all applicable food safety laws and regulations
Be solely responsible for product quality, freshness, and safety
Not list products you cannot fulfill
Maintain accurate stock levels

5. Driver Agreement

As a driver you agree to:

Maintain valid vehicle insurance at all times
Keep your vehicle registration current
Complete accepted deliveries in a timely and professional manner
Handle food products with appropriate care
Take required confirmation photos at pickup and delivery
Not accept more than 3 simultaneous deliveries
Be an independent contractor, not an employee of Pantr

6. Payments

All payments are processed through Stripe
Pantr charges a service fee on each transaction
Driver payouts are processed automatically upon delivery confirmation
Supplier payouts are processed after order completion
Disputed payments will be reviewed on a case-by-case basis

7. Memberships and Subscriptions

Memberships renew automatically unless cancelled
You may cancel your membership at any time from your account settings
No refunds are provided for partial membership periods
Free trials convert to paid subscriptions automatically unless cancelled before the trial ends

8. Cancellations and Refunds

Orders cancelled before supplier confirmation: full refund
Orders cancelled after supplier confirmation: up to 15% cancellation fee applies
Disputes about product quality must be raised within 24 hours of delivery
Pantr reserves the right to issue refunds at its discretion

9. Food Safety Responsibility

Suppliers are solely responsible for food safety, product quality, expiry dates, and regulatory compliance. Pantr is a marketplace and assumes no responsibility for the quality, safety, or legality of food products listed or sold through the platform.

10. Prohibited Conduct

Creating fake accounts or reviews
Manipulating prices or availability
Harassment of other users
Attempting to bypass platform fees
Using the platform for any illegal purpose
Sharing account credentials

11. Account Suspension

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or otherwise harm the platform or other users. We will provide notice where reasonably possible.

12. Limitation of Liability

To the maximum extent permitted by law, Pantr is not liable for any indirect, incidental, or consequential damages arising from your use of the platform, including but not limited to food safety issues, delivery failures, or payment disputes between users.

13. Intellectual Property

The Pantr name, logo, and platform are owned by Pantr. You may not use our branding without written permission.

14. Governing Law

These Terms are governed by the laws of Ontario, Canada. Any disputes shall be resolved in the courts of Ontario.

15. Changes to Terms

We may update these Terms from time to time. Continued use of the platform after changes constitutes acceptance of the new Terms.
